Framework agreement and commercial terms

TonerDeck conducts all of its e-commerce activity in strict compliance with the legislation of the Republic of Estonia — the country in which the operating entity's registered office is established — as well as with all European Union regulations applicable to business-to-business (B2B) transactions.

The Operator reserves the exclusive right to revise and update these provisions in order to ensure their continued compliance with the legislation in force, without prior notice.

Conditions of access and use

Merely accessing our portal, as well as submitting any purchase order, implies full and unreserved acceptance of this Framework Agreement. The commercial partner undertakes to use our infrastructure lawfully and to refrain from any practice liable to compromise the stability of the system or to infringe the rights of third parties.

The architecture, design, texts and graphic elements on the website are the exclusive intellectual property of TonerDeck. Any copying, reproduction or commercial exploitation of our visual elements, in particular logos and technical diagrams, is strictly prohibited without our prior written authorisation.

TonerDeck undertakes to provide accurate technical data sheets, based on manufacturers' specifications. The images shown are nevertheless provided for illustrative purposes only.

We recommend that the Buyer examine the description of each component carefully. It should be noted that, because refurbished equipment is present in our catalogue, slight visual differences may appear depending on each device's history of use.

In the event of a typographical error concerning prices or specifications, TonerDeck undertakes to make the correction as promptly as possible.

Payment methods

To facilitate B2B transactions, we make the following payment methods available to you:

  • Credit and debit cards (Visa, Mastercard and American Express)
  • Digital wallets (Apple Pay and Google Pay)

Commercial warranty regime

Products supplied by TonerDeck benefit from the commercial warranty applicable to transactions between professionals, on the terms provided for by law.

The statutory warranties of conformity and the protections reserved exclusively for individual consumers (B2C) do not apply to our commercial relationships.

Arbitration and dispute management

Notwithstanding the existence of the European online dispute resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr, TonerDeck, owing to the exclusively B2B nature of its activity, does not undertake to participate and does not participate in out-of-court dispute resolution procedures before consumer arbitration centres.

Disputes of a commercial nature shall be submitted to the judicial procedure provided for in these terms.

Governing law and competent jurisdiction

This Framework Agreement is governed, both as to substance and as to form, by the laws of the Republic of Estonia.

In the event of a dispute that cannot be settled amicably concerning the interpretation or performance of the obligations set out in these terms, the parties irrevocably submit to the exclusive jurisdiction of the Estonian courts.
